TERMS OF SERVICE

These Terms of Service ("Terms") form a binding agreement between you and CuToken ("CuToken", "we", "us", or "our") governing your access to and use of the CuToken website and prompt-optimization services (the "Service"). By creating an account, purchasing credits, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Service. By using the Service, you represent that you meet this requirement and that you have the legal capacity to enter into these Terms.

2. Description of Service

CuToken provides tools to reduce the token count of text prompts intended for use with third-party AI language models, while attempting to preserve their original meaning. A free tier is available with no account required. An optional paid "Pro" tier is available to registered account holders, offering a further-optimized result generated with the assistance of a large language model, purchased using a credit-based system. Features, pricing, and credit costs may change at any time at our discretion, with reasonable notice for material changes affecting paid accounts.

3. Account Registration & Security

You are responsible for providing accurate registration information and for maintaining the confidentiality of your password. You are solely responsible for all activity that occurs under your account, whether or not authorized by you, except to the extent caused by our failure to meet our security obligations under these Terms. Notify us immediately if you suspect unauthorized access to your account.

4. Acceptable Use

You agree not to use the Service to:

• Submit content that is unlawful, infringing, defamatory, obscene, or that violates the rights of any third party;
• Submit another person's sensitive personal information without a lawful basis and their consent to do so;
• Attempt to reverse-engineer, decompile, scrape, or extract the underlying logic, source code, models, or infrastructure of the Service;
• Circumvent, disable, or interfere with rate limits, credit systems, security features, or usage restrictions;
• Use automated means (bots, scripts) to create accounts, generate excessive requests, or otherwise abuse the Service beyond ordinary human use;
• Use the Service in any way that could disable, overburden, damage, or impair it, or interfere with any other party's use of it.

We reserve the right to suspend or terminate accounts that violate this section, without refund of unused credits, at our sole discretion.

5. Your Content

You retain all ownership rights in the prompt text you submit ("Your Content"). By submitting Your Content, you grant us a limited, temporary license to process it solely for the purpose of providing the optimization output you requested, subject to the retention and deletion practices described in our Privacy Policy. You are solely and entirely responsible for Your Content and for ensuring you have all necessary rights to submit it. We do not pre-screen, moderate, or endorse submitted content, and we assume no responsibility for it.

6. Payments, Credits & Refunds

• Pro-tier optimizations are billed using a prepaid credit system; each optimization consumes a number of credits based on prompt length.
• Payments are processed by our third-party payment processor, Razorpay. We do not store your full payment card or bank details.
• Purchased credits are, except where required otherwise by applicable law, non-refundable once granted to your account, including in cases where the resulting output does not meet your expectations, since optimization quality can vary by input.
• If a technical failure on our part causes a credit to be consumed without a valid result being delivered, the credit will be automatically refunded to your account.
• We reserve the right to change credit pricing or bundle sizes for future purchases at any time; changes do not affect credits already purchased.

7. No Warranty

We do not guarantee that optimized output will preserve 100% of the meaning, nuance, intent, or factual accuracy of your original prompt, that the Service will be uninterrupted, error-free, or secure, or that any third-party AI model used in the Pro tier will produce accurate, reliable, complete, or appropriate output. You are solely responsible for reviewing any optimized prompt before relying on it, submitting it elsewhere, or using it for any purpose — including any professional, medical, legal, financial, or safety-critical purpose. CuToken should not be used as a substitute for professional judgment in any such context.

8. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall CuToken, its officers, employees, contractors, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or related to your use of, or inability to use, the Service — whether based on contract, tort, negligence, strict liability, or any other legal theory, and even if we have been advised of the possibility of such damages.

To the maximum extent permitted by applicable law, our total cumulative liability to you for any and all claims arising from or relating to the Service shall not exceed the greater of (a) the amount you paid us in the twelve (12) months preceding the event giving rise to the claim, .

This limitation applies regardless of whether the underlying claim relates to CuToken's own systems or to output, delay, or failure originating from a third-party AI service provider used in connection with the Pro tier — we are not responsible for the acts, omissions, availability, or output accuracy of third-party providers we integrate with.

Some jurisdictions do not allow the exclusion or limitation of certain damages or warranties; in such jurisdictions, our liability is limited to the smallest extent permitted by law.

9. Indemnification

You agree to indemnify, defend, and hold harmless CuToken and its officers, employees, contractors, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: your use or misuse of the Service; Your Content; your violation of these Terms; or your violation of any rights of a third party.

10. Termination

You may stop using the Service and request account deletion at any time. We may suspend or terminate your access to the Service, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent or abusive activity, or for any other reason at our discretion, including discontinuation of the Service itself. Sections of these Terms which by their nature should survive termination (including but not limited to Sections 5, 7, 8, 9, and 12) will survive.

11. Intellectual Property

The Service, including its software, design, branding, and underlying technology, is the property of CuToken and is protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use CuToken's trademarks, logos, or branding without our prior written consent.

12. Governing Law & Disputes

These Terms are governed by the laws of [JURISDICTION, e.g. India], without regard to conflict-of-law principles. Any dispute arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in [ALIGARH].

13. Changes to These Terms

We may modify these Terms at any time. Material changes will be reflected by updating the "Last updated" date, and where appropriate, through additional notice. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
